How to UPDATE a factory unlocked iPhone 4 to IOS 5?

I have a factory unlocked iPhone 4 that I jail broke about 4 months back. Now I want it to be updated with the IOS 5- but the 3139 or 3134 error(i forget which one) comes up before the update even starts.

pls give me a solution to the problem.
I really want the latest IOS 5 on my phone.



If I update an IPAD-2 with IOS-5 will that get the same error too??
