no uppdate

Please help me! S.O.S

I once had a i phone 4 and lost it i bought a second hand i phone 3 and now when I connect it to my i tunes it says that it is still the 4.2 version which it is not because when I try to download apps it says I require a upgrade before I can download.

I possibly was given the option to upgrade once but due to the fact that I did not understand I declined, now it wont give me the option again ?

So when I press check for upgrade it says I have the current 4.2 upgrade ?
