I just put ios 5 on my phone and i share a itunes account with my wife. She had to order a new phone from apple which will be arriving tomorrow. My itunes is now set to 5. Will I be able set hers up still under for or will i have to take the udid number and register is so it is useable.

No you can still use iTunes with versions previous to iOS 5...

Correct me if I'm wrong but when I connect her phone to itunes it will connect with no issues and even bring up 4.3..

I've restored the wife's 3GS no problems running on 4.3.3. There seems to be some issues with backups but that's a bug even with iOS 5 devices...
